(SALE AND OPERATION OF THE SUBSCRIPTION BUNDLE OFFER OF MTN SERVICES WITH SMARTPHONE INCLUDED)
| ARTICLE 1 : OBJET Les présentes conditions générales concernent le contrat d’abonnement (le “contrat”) entre le Client-même (“Client”), Spacetel-Benin SA (“MTN”) et BIIC (“le prêteur”), par lequel, le Client, souscrit à l’offre groupée de services MTN (Forfait Internet et smartphone inclus), contre remboursement d’un montant (“prix de l’offre groupée”) étalé sur une période de _________________ mois (la “durée”), selon les conditions et modalités contenues dans les présentes. Le client s’engage dès lors à se conformer aux présentes Conditions Générales ainsi qu’à toutes leurs modifications ultérieures. | ARTICLE 1 : PURPOSE These general terms and conditions relate to the subscription contract (the “Agreement”) between the Client itself (“Client”), Spacetel-Benin SA (“MTN”) and BIIC (“the Lender”), by which the Client subscribes to the MTN bundle of services (including Internet and smartphone package), against reimbursement of an amount (“Bundle Price”) spread over a period of _________________ months (the “Term”), according to the terms and conditions contained herein. The customer therefore undertakes to comply with these General Terms and Conditions as well as any subsequent amendments. |
| ARTICLE 2 : DEFINITIONS ANNEXES : tous documents distincts, faisant partie intégrante des présentes conditions AGENCE MTN : désigne les entités commerciales décentralisées de MTN, réparties dans une certaine aire géographique pour être plus proches des clients potentiels. APPAREIL : désigne le smartphone inclus dans l’offre groupée de services MTN CARTE SIM : carte à puce où sont stockées les données du Client CLIENT : désigne le Bénéficiaire de l’offre groupée COMPTE MTN MOBILE MONEY : désigne le porte-monnaie électronique ouvert au nom du bénéficiaire auprès de MTN et à partir duquel les paiements des échéances de l’offre s’effectueront au profit de la Banque CONTRAT D’ABONNEMENT : désigne les présentes conditions générales signée par le Client DECHEANCE DES TERMES : désigne le droit pour MTN et du Prêteur d’exiger le règlement immédiat de l’intégralité des mensualités restant dues en cas de défaut du Client MTN : désigne l’Opérateur Spacetel-Benin SA, exploitant du réseau de Télécommunications ouvert au public, OFFRE GROUPEE DE SERVICES MTN : désigne le forfait mensuel de données (forfait Internet ) et smartphone inclus PERIODE DE REMBOURSEMENT : désigne 3, 4 ou 6 mois POINTS DE VENTES : désigne tout commerçant, personne physique ou morale, fournisseur de biens et services, agréé par MTN pour commercialiser l’offre groupée PRETEUR : désigne la BIIC, l’institution financière ayant préfinancé les smartphones neufs, afin qu’ils soient vendus à crédit au Client RECLAMATIONS : désigne les requêtes du Client à l’endroit de MTN ou de ses partenaires. SMARTPHONES : désigne l’appareil inclus dans l’offre Groupée. Le montant dudit Smartphone étant préfinancé par le Prêteur | ARTICLE 2 : DEFINITIONS APPENDICES : any separate documents, forming an integral part of these terms and conditions MTN AGENCY : means MTN’s decentralized business entities, spread over a certain geographical area to be closer to potential customers. DEVICE: refers to the smartphone included in the MTN service bundle SIM CARD : smart card where the Customer’s data is stored CUSTOMER : refers to the Beneficiary of the bundle MTN MOBILE MONEY ACCOUNT : means the electronic wallet opened in the name of the beneficiary with MTN and from which payments of the instalments of the offer will be made to the Bank SUBSCRIPTION AGREEMENT : refers to these general terms and conditions signed by the Client FORFEITURE OF TERMS: means the right of MTN and the Lender to demand the immediate payment of all outstanding monthly instalments in the event of default by the Client MTN: refers to the Operator Spacetel-Benin SA, operator of the telecommunications network open to the public, MTN SERVICE BUNDLE : means the monthly data plan (Internet plan) and smartphone included PAYBACK PERIOD: Refers to 3, 4 or 6 months POINTS OF SALE : refers to any trader, natural or legal person, supplier of goods and services, authorised by MTN to market the bundle LENDER: refers to BIIC, the financial institution that pre-financed the new smartphones, so that they can be sold on credit to the Client COMPLAINTS : refers to the Customer’s requests against MTN or its partners. SMARTPHONES: means the device included in the Bundle. The amount of the said Smartphone being pre-financed by the Lender |
| ARTICLE 3 : CONTENU DE L’OFFRE GROUPEE DE SERVICES MTN AVEC SMARTPHONE INCLU Dans le cadre du partenariat entre le Prêteur et MTN, le Prêteur a pré-financé le smartphone neuf inclus dans l’offre groupée de services MTN afin de permettre au Client de l’acheter à crédit chez MTN et de le rembourser dans un délai de 3 à 6 mois non extensible. A l’issue de la période de remboursements effectifs, le Client devient propriétaire du smartphone tout en ayant bénéficié du smartphone et des produits et services MTN (forfait internet) pendant toute la durée du remboursement. Le Client n’est pas tenu de disposer d’un compte bancaire pour les remboursements. Le compte MTN Mobile Money du Client crédité en monnaie électronique lui permet d’effectuer les remboursements, via le code USSD. Toute transaction MTN Mobile-Money ne peut être opérée que dans la limite du solde de Monnaie Electronique disponible sur le compte du Client (y compris les frais), et des plafonds fixés par la législation en vigueur. | ARTICLE 3 : CONTENT OF THE BUNDLE OF MTN SERVICES WITH SMARTPHONE INCLUDED As part of the partnership between the Lender and MTN, the Lender pre-financed the new smartphone included in the MTN service bundle in order to allow the Customer to purchase it on credit from MTN and repay it within a non-extendable period of 3 to 6 months. At the end of the effective refund period, the Customer becomes the owner of the smartphone while having benefited from the smartphone and MTN products and services (internet package) for the entire duration of the refund. The Customer is not required to have a bank account for refunds. The Customer’s MTN Mobile Money account credited with electronic money allows them to make refunds, via the USSD code. Any MTN Mobile-Money transaction can only be carried out within the limit of the Electronic Money balance available in the Client’s account (including fees), and the limits set by the legislation in force. |
| ARTICLE 4 : CONDITIONS D’ELIGIBILITE A L’OFFRE GROUPEE ET MISE A DISPOSITION DU SMARTPHONE 4.1 Conditions d’éligibilité à l’offre – Accès gratuit à l’offre, sous réserve de la possession d’une carte Sim MTN en cours de validité enregistrée au nom du Client – Disposer d’un compte MTN Mobile Money enregistré au nom du Client personne physique majeure et capable, pour une utilisation personnelle et privée. Le Client n’est pas autorisé à signer au nom d’une autre personne, d’une organisation, d’une entité commerciale ou d’un organisme gouvernemental et engage personnellement sa responsabilité dans le cas contraire. – Les mineurs non émancipés et les majeurs incapables devront présenter l’autorisation expresse d’un parent ou tuteur détenteur d’un document officiel en cours de validité – le Client vérifie par code USSD *171# et obtient la confirmation qu’il est éligible ou non à l’offre – Dans l’affirmatif, il est invité à accepter les présentes conditions générales pour bénéficier de l’offre groupée. 4.2 Mise à disposition du smartphone et Paiements Le Client se rend dans une agence MTN ou un point de vente pour le retrait du smartphone : Nom du client : ___________________________________________________________ Appareil acheté : __________________________________________________________ IMEI de l’appareil : _________________________________________________________ Date d’achat : _____________________________________________________________ Nom du magasin : __________________________________________________________ Durée du prêt : ____________________________________________________________ ID du prêt : _______________________________________________________________ Date de l’échéance mensuelle : _______________________________________________ Paiement initial : ___________________________________________________________ Prix mensuel à payer pour l’offre groupée_______________________________________. Paiement initial par le Client. Le Client effectuer un paiement initial lors de la mise à disposition du smartphone. Le montant du paiement initial équivaut à une échéance mensuelle effectuée via son compte MTN MoMo, par le code USSD *171# . Il s’agit d’une condition préalable pour bénéficier de l’offre groupée. Remboursements des échéanciers mensuels suivants. Le prix mensuel de l’offre groupée couvre le remboursement mensuel du coût de l’appareil et de l’offre groupée MTN de données, de voix et de SMS fourni mensuellement par le MTN. Chaque mois, le Client est tenu d’effectuer un paiement par via l’intermédiaire de MTN Mobile Money (“MoMo”) en déduisant du compte un montant égal au prix mensuel de l’offre groupée. Les déductions peuvent être effectuées quotidiennement, hebdomadairement ou mensuellement. La totalité du montant mensuel doit être versée avant et/ au plus tard un jour avant la date de l’échéance mensuelle du remboursement. Dans ce cadre, le Client autorise expressément MTN à déduire _________F CFA de son compte Momo pour le remboursement de l’échéance mensuelle, qui n’aurait pas été payé au plus tard, un jour avant la date de l’échéance mensuelle du remboursement. Lorsqu’une échéance mensuelle est totalement honorée par le Client, MTN fournit l’offre groupée pour le mois suivant. Transfert des risques, responsabilités Le transfert des risques sur le smartphone a lieu dès la prise en possession par le Client, constaté par le paiement initial et la signature des présentes conditions générales. Le client a la garde du smartphone et par conséquent, tous les risques liés à cette garde lui sont transférés (perte, vol, dégradation) et il en a la responsabilité. Les incidents ci-après sont pris en charge par le service après-vente de MTN : -écran cassé : réparation gratuite une seule fois, à la demande du client dans l’agence ou le point de vente où le smartphone a été mis à disposition – Vol avéré (preuves fournies) : mise à disposition une seule fois, d’un autre smartphone en remplacement Dans tous les cas, le Client devra rembourser l’intégralité des échéances restant dues pour toute la durée de l’offre groupée. Le smartphone ainsi que ses accessoires bénéficient, dès la prise en possession par le Client, d’une garantie commerciale du constructeur d’une durée variable selon le modèle. Les exclusions de garantie commerciale sont indiquées dans la notice de garantie du constructeur Propriété de l’appareil Le Prêteur a la propriété juridique de l’appareil jusqu’au paiement intégral et définitif par le Client du prix de l’offre groupée (Forfait internet, et smartphone inclus). La propriété de l’appareil ne sera transférée au Client qu’après le paiement intégral et définitif. Non-portabilité provisoire Le Client accepte par la présente de ne pas transférer le numéro de téléphone de l’appareil à un autre opérateur de réseau de télécommunications avant de s’être acquitté de toutes ses obligations à l’égard de la Banque et de MTN en vertu des présentes. En cas de non-respect, votre téléphone sera désactivé par MTN. Conditions supplémentaires. Le Client consent irrévocablement à la cession du présent accord par le prêteur et MTN à l’avenir, que ce soit dans le cadre d’un programme de transfert de prêt ou d’une autre manière. Le Client ne pourra pas céder le présent accord ou tout intérêt y afférent sans le consentement écrit préalable du Prêteur et de MTN. | ARTICLE 4 : ELIGIBILITY CONDITIONS FOR THE BUNDLE AND PROVISION OF THE SMARTPHONE 4.1 Offer eligibility requirements – Free access to the offer, subject to the possession of a valid MTN Sim card registered in the name of the Customer – Have an MTN Mobile Money account registered in the Customer’s name natural person of legal age and capacity, for personal and private use. The Customer is not authorized to sign on behalf of any other person, organization, business entity or government agency and is personally liable if it does not. – Non-emancipated minors and incapacitated adults must present the express authorization of a parent or guardian holding a valid official document – the Customer verifies by USSD code *171# and obtains confirmation whether or not he/she is eligible for the offer – If so, they are invited to accept these terms and conditions to benefit from the bundle. 4.2 Provision of the smartphone and Payments The Client goes to an MTN branch or a point of sale to collect the smartphone: Customer name: ___________________________________________________________ Device purchased: __________________________________________________________ Device IMEI: _________________________________________________________ Date of purchase: _____________________________________________________________ Store name: __________________________________________________________ Loan period: ____________________________________________________________ Loan ID: _______________________________________________________________ Monthly due date: _______________________________________________ Initial payment: ___________________________________________________________ Monthly price to be paid for the groupée_______________________________________ offer. Initial Payment by Customer. The Customer makes an initial payment when the smartphone is made available. The amount of the initial payment is equivalent to a monthly instalment made through his MTN MoMo account, with the USSD code *171#. This is a prerequisite for the bundle. Repayments of the following monthly schedules. The monthly bundle price covers the monthly reimbursement of the cost of the device and the MTN data, voice, and SMS bundle provided monthly by the MTN. Each month, the Customer is required to make a payment through MTN Mobile Money (“MoMo”) by deducting from the account an amount equal to the monthly price of the bundle. Deductions can be made daily, weekly, or monthly. The full monthly amount must be paid before and/or not later than one day before the monthly repayment due date. In this context, the Client expressly authorises MTN to deduct _________F CFA from its Momo account for the repayment of the monthly instalment, which has not been paid at the latest, one day before the date of the monthly repayment due date. When a monthly deadline is fully met by the Customer, MTN will provide the bundle for the following month. Transfer of Risk, Responsibilities The transfer of risks to the smartphone takes place as soon as the Client takes possession of it, as evidenced by the initial payment and the signing of these general terms and conditions. The customer has custody of the smartphone and consequently, all risks related to this custody are transferred to him (loss, theft, damage) and he is responsible for it. The following incidents are handled by MTN’s after-sales service: -Broken screen: free repair only once, at the customer’s request in the branch or point of sale where the smartphone was made available – Proven theft (proof provided): provision of another smartphone once as a replacement In any case, the Customer must reimburse all outstanding instalments for the entire duration of the bundle. The smartphone and its accessories benefit, from the moment the Customer takes possession of it, from a manufacturer’s commercial warranty of a variable duration depending on the model. Commercial warranty exclusions are indicated in the manufacturer’s warranty notice Device Ownership The Lender has the legal ownership of the device until the full and final payment by the Customer of the price of the bundle (internet plan, and smartphone included). Ownership of the device will only transfer to the Customer after full and final payment. Temporary non-portability The Customer hereby agrees not to transfer the telephone number of the device to any other telecommunications network operator until it has fulfilled all of its obligations to the Bank and MTN hereunder. In case of non-compliance, your phone will be deactivated by MTN. Additional Terms. Customer irrevocably consents to the assignment of this Agreement by Lender and MTN in the future, whether as part of a Loan Transfer Program or otherwise. The Customer may not assign this Agreement or any interest therein without the prior written consent of the Lender and MTN. |
| ARTICLE 5 : CAS DE DEFAUT- DEFAILLANCE DU CLIENT Le Client sera en défaut par rapport à l’abonnement à l’offre groupée de services MTN au présent accord si l’un des événements suivants (appelés “cas de défaut”) se produisait : Défaut de paiement initial ou d’une échéance mensuelle de l’offre groupée avant la date d’échéance applicable ; Non-respect d’un engagement, d’une déclaration ou d’une garantie figurant dans les présentes conditions générales ; Procédure de mise en faillite est déposée contre le Client ; Informations fausses, trompeuses ou incorrectes du client dans sa demande de financement de l’appareil ou pendant la durée de l’abonnement à l’offre groupée; Manquement à l’exécution ou au respect d’une obligation contractuelle qui n’est pas réparé dans les deux (2) jours suivant la réception d’une mise en demeure, et Transfert du numéro de téléphone adossé à l’appareil, vers un réseau autre que MTN avant le remboursement total de toutes les échéances. Le client a perdu ou s’est fait volé le smartphone, objet des présentes CGV ; En cas de défaut, – Le solde du prix de l’offre groupée pour le reste de la durée de l’abonnement à l’offre groupée deviendra immédiatement exigible et tous les frais de recouvrement (débours et sans s’y limiter, honoraires d’avocats raisonnables engagés par MTN) seront à la charge du Client – paiement d’une pénalité de 0,07% par jour de retard appliquée sur le montant de l’échéance journalière impayée à compter de la date d’échéance + 2 jours. – Le montant impayé sera déduit des comptes MoMo des autres numéros de téléphone enregistrés au nom du Client – L’appareil sera désactivé à distance et le Client ne pourra plus l’utiliser sur aucun réseau. – Le Client pourra activer son smartphone après le paiement intégral des montants d’abonnement en souffrance (cf les instructions du document FAQ joint au pack Appareil) – Tout usage abusif ou frauduleux de l’offre expose le Client aux poursuites civiles et pénales prévues par la législation en vigueur. Elle entraîne également l’exclusion du bénéfice à l’offre, objet des présentes conditions. | ARTICLE 5 : EVENT OF DEFAULT – DEFAULT OF THE CLIENT The Customer will be in default of subscribing to the MTN Service Bundle under this Agreement if any of the following events (referred to as “Defaults”) occur: Failure to make an initial payment or a monthly due date of the bundle before the applicable due date; Failure to comply with any undertaking, representation or warranty contained in these terms and conditions; Bankruptcy proceedings are filed against the Client; False, misleading or incorrect information from the customer in their application for device financing or during the term of the bundle subscription; Failure to perform or comply with a contractual obligation that is not remedied within two (2) days of receipt of a demand letter, and Transfer of the phone number backed by the device to a network other than MTN before all instalments have been paid off in full. The customer has lost or had the smartphone, which is the subject of these T&Cs, stolen; In the event of a default, – The balance of the Bundle Price for the remainder of the Bundle Subscription Term will become immediately due and payable and all costs of recovery (disbursements and without limitation, reasonable attorneys’ fees incurred by MTN) will be borne by the Customer – payment of a penalty of 0.07% per day of delay applied to the amount of the unpaid daily due date from the due date + 2 days. – The unpaid amount will be deducted from the MoMo accounts of the other phone numbers registered in the name of the Customer – The device will be remotely deactivated and the Customer will no longer be able to use it on any network. – The Customer will be able to activate their smartphone after full payment of the outstanding subscription amounts (see the instructions in the FAQ document attached to the Device pack) – Any misuse or fraudulent use of the offer exposes the Client to civil and criminal proceedings provided for by the legislation in force. It also entails the exclusion of the benefit of the offer, which is the subject of these conditions. |
| ARTICLE 6 : PROTECTION ET TRANSFERT DES DONNEES PERSONNELLES- CONFIDENTIALITE- COMMUNICATION A DES TIERS- DROIT D’OPPOSITION, D’ACCES ET DE RECTIFICATION MTN, ainsi que tous ses partenaires et fournisseurs intervenant dans l’exécution des présentes Conditions prennent les mesures propres à assurer la protection et la confidentialité des données à caractère personnel qu’ils détiennent ou traitent dans le strict respect des dispositions législatives en vigueur. MTN et ou ses partenaires pourra, à tout moment et sans préavis, suspendre ou résilier l’offre en cas de risque supposé ou avéré sur la confidentialité ou en cas de fraudes. Les Parties conviennent que les informations échangées par elles dans le cadre de l’Offre et nécessaires à l’exécution de leurs obligations réciproques sont confidentielles, à l’exception de l’obligation de communication d’information provenant des autorités administratives, financières et judiciaires habilitées. Les informations recueillies dans le cadre des présentes CG feront l’objet d’un traitement informatique. Elles seront utilisées par MTN sur son réseau de distribution et ses partenaires pour l’exécution de l’offre. Le Client autorise la communication des informations le concernant à tout partenaire et fournisseur dans le cadre de l’exécution de l’offre (Distributeurs/ Sous distributeurs/ Accepteurs/ Banque domiciliataire/ partenaires techniques). Le Client autorise également le transfert des données vers un pays tiers en cas de besoin. Le transfert de données du client vers des partenaires basés à l’étranger se fera conformément aux dispositions légales en vigueur. En souscrivant à l’offre objet des présentes, le Client accepte, le traitement des données à caractère personnel collectées pour la souscription et la gestion de l’offre, aux fins de vérification de son dossier de crédit auprès d’une agence d’évaluation du crédit, d’une part et la réception gratuite des offres et publicités commerciales de MTN, faites conformément à la législation en vigueur d’autre part. Il a toutefois la possibilité de s’opposer à tout moment, sans frais auxdites publicités en envoyant un courrier à l’adresse ci-après : Spacetel-Benin SA (MTN), 360 Boulevard de la Marina, zone aéroportuaire, 01 BP 5293 Cotonou Par contre, l’opposition du Client au traitement des Données personnelles nécessaires pour la fourniture de l’offre entraîne de facto son inéligibilité à ladite offre. Le Client dispose également d’un droit d’accès et de rectification de toutes données personnelles le concernant. S’il souhaite exercer ces droits et obtenir communication ou rectification des informations le concernant, il peut s’adresser par courrier à Spacetel-Benin SA (MTN), 360 Boulevard de la Marina, zone aéroportuaire. 01 BP 5293 Cotonou | ARTICLE 6 : PROTECTION AND TRANSFER OF PERSONAL DATA- CONFIDENTIALITY- COMMUNICATION TO THIRD PARTIES- RIGHT OF OPPOSITION, ACCESS AND RECTIFICATION MTN, as well as all its partners and suppliers involved in the execution of these Terms and Conditions take appropriate measures to ensure the protection and confidentiality of the personal data they hold or process in strict compliance with the legislative provisions in force. MTN and/or its partners may, at any time and without notice, suspend or terminate the offer in the event of a suspected or proven risk to confidentiality or fraud. The Parties agree that the information exchanged by them in the context of the Offer and necessary for the performance of their reciprocal obligations is confidential, with the exception of the obligation to communicate information from the authorized administrative, financial and judicial authorities. The information collected within the framework of these T&Cs will be subject to computer processing. It will be used by MTN on its distribution network and its partners for the execution of the offer. The Client authorises the communication of information concerning it to any partner and supplier in the context of the execution of the offer (Distributors/ Sub-distributors/ Acceptors/ Domiciliary Bank/ Technical partners). The Client also authorises the transfer of data to a third country if necessary. The transfer of customer data to partners based abroad will be carried out in accordance with the applicable legal provisions. By subscribing to the offer referred to herein, the Client agrees to the processing of the personal data collected for the subscription and management of the offer, for the purpose of checking its credit file with a credit reporting agency, on the one hand, and the receipt of free commercial offers and advertisements from MTN, made in accordance with the legislation in force, on the other hand. However, he or she has the possibility to object to said advertisements at any time, free of charge, by sending a letter to the following address: Spacetel-Benin SA (MTN), 360 Boulevard de la Marina, airport area, 01 BP 5293 Cotonou On the other hand, the Client’s opposition to the processing of the Personal Data necessary for the provision of the offer will de facto result in its ineligibility for the said offer. The Client also has the right to access and rectify any personal data concerning him/her. If they wish to exercise these rights and obtain communication or rectification of information concerning them, they may contact Spacetel-Benin SA (MTN), 360 Boulevard de la Marina, airport area, by post. 01 BP 5293 Cotonou |
| ARTICLE 7 : ACCEPTATION DES CG – ENTREE EN VIGUEUR- DUREE- MODIFICATION Les présentes conditions générales tiennent lieu de contrat d’abonnement entre les parties. Elles sont conclues pour une durée indéterminée et entrent en vigueur à compter de sa signature par le Client. Celles-ci peuvent être modifiées au besoin par MTN et le prêteur après information des Régulateurs. La poursuite de l’utilisation de l’offre est considérée comme une acceptation tacite de ces changements par le Client. MTN et le prêteur se réserve le droit de modifier unilatéralement les présentes conditions générales. Le cas échéant, le Client sera informé par tout support écrit, y compris par message SMS, un (1) mois au plus tard avant la date d’entrée en vigueur des modifications. En cas de refus de la modification proposée, le Client peut résilier, sur demande écrite, l’offre, sans frais, avant la date d’entrée en vigueur des modifications proposées. Les conséquences de la résiliation s’appliqueront. Toute disposition législative ou réglementaire qui rendrait nécessaire la modification de tout ou partie des conditions générales sera applicable dès sa date d’entrée en vigueur, ce, sans préavis. | ARTICLE 7 : ACCEPTANCE OF THE GTC – ENTRY INTO FORCE – DURATION – MODIFICATION These general terms and conditions constitute a subscription contract between the parties. They are concluded for an indefinite period and come into force from the date of their signature by the Client. These may be modified as necessary by MTN and the lender after informing the Regulators. The continued use of the offer is considered tacit acceptance of these changes by the Customer. MTN and the Lender reserve the right to unilaterally modify these Terms and Conditions. Where applicable, the Client will be informed by any written means, including by SMS, no later than one (1) month before the date of entry into force of the changes. In the event of rejection of the proposed modification, the Client may, upon written request, terminate the offer, free of charge, before the effective date of the proposed modifications. The consequences of termination will apply. Any legislative or regulatory provision that makes it necessary to modify all or part of the general terms and conditions will be applicable from the date of its entry into force, without notice. |
| ARTICLE 8 : RESILIATION DE L’OFFRE GROUPEE A l’initiative de MTN L’offre est résiliée par MTN et le Prêteur, sans préavis dans les cas suivants : – Connaissance ou soupçon que l’offre est utilisée à des fins frauduleuses ou illégales ; – si un organisme national ou international dûment habilité diligente une enquête ou lorsqu’une procédure pénale est engagée à l’encontre du Client ou pour toute autre raison qui, de l’avis de MTN et du Prêteur entame leur réputation commerciale ; – Le Client ne respecte pas les présentes Conditions Générales ou utilise de façon inappropriée l’offre – la déchéance des termes est prononcée conformément aux dispositions de l’article 5 des présentes CG. En cas de décès du Client Suite à l’information des ayants droits du Client en cas de décès, l’offre est résiliée et le smartphone bloqué automatiquement jusqu’à paiement du solde restant dû, par lesdits ayants droits. Le compte Mobile Money du client est clôturé et ne peut plus donner lieu à l’utilisation ultérieure de la Monnaie Electronique. Sur instructions des autorités judiciaires, policières et/ou administratives compétentes Dans ce cas, la déchéance du terme est prononcée à l’encontre du Client qui doit s’exécuter immédiatement. | ARTICLE 9: DISPUTE RESOLUTION – ATTRIBUTION OF JURISDICTION – APPLICABLE LAW These general terms and conditions are subject to the laws in force in the Republic of Benin.
